These Sales Terms and Conditions (“Conditions”) govern the offer, sale, and delivery of products purchased through our online store and sales pages available at www.oxwatches.com and any official redirections (including www.oceanixwatches.com and www.frog300.com) (collectively, the “Website”).
These Conditions are separate from our Website Terms of Use, Privacy Policy, Cookie Notice, Shipping & Returns Policy, and Warranty Policy, which also apply where relevant.
1. GENERAL

In these Conditions, the seller is referred to as “OX”, “OX®”, “we”, “us”, or “our”.
1.2 Acceptance
By placing an order on the Website (including by clicking an “Accept”, “Place Order”, “Pay Now”, or similar button during checkout), you confirm that you have read, understood, and agree to be bound by these Conditions.
If you do not agree with these Conditions, you must not place an order.
1.3 Updates
We may update these Conditions at any time. The applicable version is the one in force at the time you place your order.
2. THE CUSTOMER
2.1 Eligibility
To place an order, you must:

be of legal age in your jurisdiction; and

have the legal capacity to enter into a binding contract.
2.2 Consumers and mandatory rights
Nothing in these Conditions limits any mandatory consumer rights that apply to you under the laws of your place of residence. Where there is a conflict between these Conditions and mandatory consumer law, mandatory law prevails.
2.3 Delivery territories
We ship to the territories listed in our Shipping & Returns Policy (as updated from time to time). Availability of shipping destinations may change due to carrier restrictions, compliance, or operational reasons.
3. PRODUCTS, ORDER PROCESS, AND CONTRACT FORMATION
3.1 Order as an offer
Placing an order constitutes an offer by you to purchase the selected products under these Conditions.
3.2 Order confirmation vs acceptance
After you place an order, you will receive an email acknowledging receipt of your order. This acknowledgement does not constitute acceptance.
A contract is formed only when we send you an Order Acceptance / Shipping Confirmation email (or otherwise confirm acceptance in writing).
3.3 Fraud prevention and verification
To protect our customers and prevent fraud, we may request additional verification before accepting an order (for example, confirming address details or validating payment). If you do not provide the requested verification within a reasonable time, we may cancel the order.
Any personal data processed in connection with verification is handled in accordance with our Privacy Policy.
3.4 Product information and errors
We strive to describe products accurately. However:

product photos are for illustrative purposes;

specifications and availability may change;

typographical, pricing, or technical errors may occur.
If we discover a manifest error (including incorrect pricing), we may cancel the order and issue a refund, or contact you to reconfirm your order at the correct price before shipment.
3.5 Availability and limits
All orders are subject to product availability. We may limit quantities per order or per customer, and we may refuse orders in cases of suspected fraud, abusive returns, or previous payment disputes.
3.6 Out-of-stock items
If a product becomes unavailable after your order is placed, we will notify you and you may choose to:

wait for restock (if applicable), or

cancel the order for a refund of any amount paid for the unavailable item(s).
3.7 Language
The checkout and these Conditions may be made available in English and Spanish. In case of inconsistency, the English version prevails to the extent permitted by law.
4. PRICE, TAXES, AND PAYMENT
4.1 Prices
Prices are shown on the Website at the time of purchase and may be displayed in different currencies depending on your location or settings.
Unless stated otherwise, prices do not include:

customs duties, import taxes, brokerage fees, or similar charges imposed by your local authorities; and/or
-
additional delivery costs (which will be shown at checkout).
4.2 Changes
Prices may change at any time, but changes will not affect orders already accepted by us.
4.3 Shipping costs
Shipping charges are displayed at checkout and confirmed in your order documentation.
4.4 Payment methods
We accept payment methods displayed during checkout (for example, credit/debit cards, PayPal, and other payment methods as made available). Payments are processed by third-party payment providers.
4.5 Payment timing
Payment is typically captured before shipment (or at the time of order, depending on the payment method). We may suspend or cancel shipment until payment is successfully received.
4.6 Payment security and verification
Payment details are processed securely by our payment providers. We do not generally store full payment card details on our systems. Your payment provider may perform additional verification checks.
5. DELIVERY
5.1 Shipping confirmation
We will provide shipment details by email once your order is accepted and dispatched.
5.2 Delivery address
Delivery will be made to the address provided at checkout. You are responsible for ensuring that the address is accurate and complete.
5.3 Missed delivery / returns to sender
If a delivery attempt fails due to your absence, incorrect address, refusal, or failure to pay customs/import charges, the shipment may be returned to us or disposed of by the carrier in accordance with its policies. Additional re-shipping costs may apply.
5.4 Partial shipments
We may ship items separately where operationally necessary. This does not increase shipping costs unless clearly stated at checkout.
5.5 Delivery delays
Delivery estimates are indicative and not guaranteed. If we anticipate a significant delay, we will notify you. Where mandatory consumer law grants a right to cancel for delay, that right remains unaffected.
6. TRANSFER OF OWNERSHIP AND RISK
6.1 Title (ownership)
Ownership of the products transfers to you once we have received full payment for the products (and any applicable shipping charges), unless mandatory local law provides otherwise.
6.2 Risk of loss
Risk of loss or damage transfers to you upon delivery to the address provided (or upon handover to you or your nominated recipient), unless mandatory consumer law provides otherwise.
7. ACCOUNTS AND GUEST CHECKOUT
7.1 Account purchases
You may register an account to manage orders and preferences. Account data is processed in accordance with our Privacy Policy.
7.2 Guest checkout
You may also purchase as a guest where available.
8. RETURNS AND RIGHT OF WITHDRAWAL
8.1 Returns policy
Returns, refunds, and any consumer “cooling-off” rights are governed by our Shipping & Returns Policy, which forms part of these Conditions by reference.
Where mandatory law grants you a right of withdrawal (for example, in certain jurisdictions), that right applies. Where local law does not provide a statutory withdrawal right, returns may be offered as a commercial policy as described in our Shipping & Returns Policy.
8.2 Condition of returned goods
Returned products must be:

in the condition required under our Shipping & Returns Policy;

securely packaged; and
-
include proof of purchase.
We may reduce the refund or refuse a return where permitted if the item shows misuse, damage, missing components, or handling beyond what is necessary to inspect the product.
8.3 Refund method
Refunds will be issued using the original payment method unless otherwise required by law or agreed with you.
8.4 Return shipping costs
Return shipping cost rules are detailed in our Shipping & Returns Policy.
Important: The return address for withdrawals/returns is specified in the Shipping & Returns Policy: [RETURN ADDRESS / RMA PROCESS].
9. WARRANTY
9.1 Statutory warranty rights
Mandatory consumer warranty rights may apply depending on your country of residence. Nothing in these Conditions limits such rights.
9.2 Commercial warranty (if offered)
If we provide an additional commercial warranty, its scope, duration, and exclusions are described in our Warranty Policy and/or the warranty certificate supplied with the product.
9.3 Warranty claims procedure
Warranty claims and service requests must be submitted through:

Do not send products for service or warranty without following the RMA/return instructions provided by Customer Service.
10. LIABILITY
10.1 General
We will perform our obligations with reasonable care and skill.
10.2 Limitations
To the maximum extent permitted by law, we are not liable for:

indirect, incidental, special, or consequential losses;
-
loss of profits, revenue, data, or goodwill;
-
delays or failures caused by events beyond our reasonable control (force majeure), including carrier delays, customs issues, or regulatory restrictions.
Nothing in these Conditions limits liability that cannot be limited or excluded under applicable law (including liability for fraud, willful misconduct, or mandatory consumer protections).
11. INTELLECTUAL PROPERTY
All intellectual property rights in OX® brands, trademarks, product names, designs, content, and materials remain the property of OX Oceanix Watches LTD and/or its licensors. No licence is granted except as strictly necessary to use the Website and purchase products for personal use.
12. THIRD-PARTY LINKS
The Website may include links to third-party websites. We are not responsible for third-party content, policies, or services.
13. DURATION AND AMENDMENTS
These Conditions apply to all sales made through the Website. We may update these Conditions at any time; the version in force at the time of your order applies.
14. MISCELLANEOUS
14.1 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
14.2 No waiver
Failure to enforce any right is not a waiver of that right.
14.3 Electronic communications
You consent to receive communications electronically. Electronic records (including emails and order confirmations) may be used as evidence of transactions to the extent permitted by law.
14.4 Assignment
We may assign our rights and obligations under these Conditions to an affiliate or successor. You may not assign your rights without our written consent.
14.5 Entire agreement
These Conditions, together with referenced policies (Privacy Policy, Cookie Notice, Shipping & Returns Policy, Warranty Policy, and Terms of Use), form the entire agreement relating to your purchase through the Website.
15. GOVERNING LAW AND JURISDICTION
These Conditions are governed by the laws of the Hong Kong Special Administrative Region (HKSAR).
Any dispute arising out of or in connection with these Conditions shall be submitted to the competent courts of Hong Kong, without prejudice to any mandatory consumer rights that may apply in your jurisdiction of residence.

OX SHIPPING & RETURNS POLICY

This Shipping & Returns Policy applies to purchases made through www.oxwatches.com and official redirections (including www.oceanixwatches.com and www.frog300.com) (the “Website”). It forms part of our Sales Terms and Conditions.
Nothing in this Policy limits mandatory consumer rights that apply to you under the laws of your place of residence.
1- SHIPPING POLICY
1.1 Order processing (preparation time)
Orders are generally processed after successful payment confirmation. We aim to dispatch orders as soon as reasonably possible, subject to:
-
product availability;
-
order verification / fraud-prevention checks;
-
weekends, public holidays, and operational constraints.
Dispatch is not guaranteed to be immediate, even after payment, but we will make reasonable efforts to ship promptly.
1.2 Carriers
We use internationally recognised couriers such as DHL, UPS, or equivalent services depending on destination, service availability, and operational factors.
1.3 Shipping times (estimates)
Delivery times are estimates only and are not guaranteed. Typical delivery ranges (from dispatch) are:

Hong Kong: typically 1–3 business days

Europe: typically 5–7 business days

United States: typically 3–6 business days
-
Other destinations: typically 7–14 business days

Remote areas / certain destinations (e.g., Australia): may take longer
Delays may occur due to customs clearance, carrier peak periods, weather, or other circumstances beyond our control.
1.4 Tracking
Once your order is dispatched, we will provide a tracking number by email so you can monitor delivery progress.
1.5 Customs, duties, taxes (important)
International shipments may be subject to import duties, taxes, VAT/GST, customs fees, brokerage fees, or handling charges imposed by your country/region.
Unless we explicitly state otherwise at checkout, shipments are sent on a Delivered Duty Unpaid (DDU) basis:
-
you (the buyer/recipient) are responsible for paying any import charges required by your local authorities or carrier.
If you refuse to pay import charges, refuse delivery, or the carrier returns the shipment, the consequences are described in Section 1.7.
1.6 Address accuracy
You are responsible for providing a correct and complete shipping address. If a shipment is delayed, lost, or returned due to an incorrect or incomplete address, we may not be able to provide a refund and additional re-shipping fees may apply.
1.7 Failed delivery / refusal / uncollected shipments
If a shipment is returned to us due to:
-
refusal of delivery,
-
failure to pay customs/taxes,
-
repeated failed delivery attempts,
-
incorrect address, or
-
non-collection within the carrier’s holding period,
we may (at our discretion and subject to applicable law):
-
offer to re-ship the order at your cost, and/or
-
issue a refund minus non-recoverable shipping costs, return shipping costs, and any applicable handling fees.
Certain carriers may also dispose of a shipment if not collected or if prohibited by local rules; in such cases, refunds may not be possible.
1.8 Force majeure
We are not responsible for shipping delays or failures caused by events outside our reasonable control, including customs delays, strikes, weather disruptions, carrier interruptions, or regulatory restrictions.
2- RETURNS POLICY
(14 DAYS)
2.1 Right to return (general)
Where applicable, you may request a return within fourteen (14) calendar days from the date you (or your nominated recipient) receive the product.
To be eligible, you must:
-
notify us within 14 days; and
-
return the item in accordance with the return instructions, generally within seven (7) business days after approval/RMA issuance (unless local mandatory law requires a different timeline).
Note: Some jurisdictions grant statutory withdrawal/cooling-off rights. Where mandatory law grants you additional rights or different timelines, those rights prevail.
2.2 Return authorisation (RMA) required
All returns require a Return Authorisation (RMA).
To request a return, contact us via:

email: ox@oceanixwatches.com (subject: “RETURN REQUEST – Order [#]”).
We will provide:

return instructions,
-
the return address, and
-
where applicable, a return label or recommended courier procedure.
Do not ship returns without RMA approval. Unauthorised returns may be refused or delayed.
2.3 Condition of returned goods (strict)
Returned items must be:
-
unused, unworn, and in resalable condition;
-
returned with all original packaging, protective films (if applicable), documentation, tags, and included accessories;
-
not showing signs of wear, scratches, water exposure, damage, sizing/adjustment marks, or misuse.
If a returned product shows signs of use or damage, we may (where permitted by law):
-
refuse the return, or
-
apply a value reduction (depreciation) reflecting the loss in value.
2.4 Non-returnable items (where permitted)
Unless mandatory law provides otherwise, the following may be non-returnable:
-
personalised, engraved, or custom-modified items;
-
items returned without all original components;
-
items showing use, damage, or missing accessories.
-
.Cut-down straps, whether FKM, Textiles or Titanium Bracelet without all the links.
2.5 Refunds
Once we receive and inspect the returned product, and confirm eligibility, we will process a refund to the original payment method unless otherwise required by law.
Refund timing depends on your payment provider and may take additional days to appear on your statement.
2.6 Return shipping costs and “free return label”
Return shipping cost responsibility depends on:
-
the destination country,
-
the reason for return, and
-
any mandatory consumer law.
Important: We may provide a free return label in certain cases (for example, where required by mandatory law, or where the product is defective or non-conforming). Otherwise, return shipping may be at the customer’s expense, as indicated in the RMA instructions.
2.7 Exchanges
If you request an exchange, we will process it after we receive and inspect the returned item and confirm eligibility. Exchanges are subject to stock availability.
Where an exchange is not possible, we may offer a refund instead.
2.8 Refused returns due to misuse
If we receive an item with clear evidence of misuse, damage, missing parts, or significant wear, we may refuse the return. In that case, we may ship the item back to you at your expense (where legally permitted).
3- DEFECTIVE OR NON-CONFORMING ITEMS (WARRANTY / DAMAGE)
If your product arrives damaged, defective, or does not conform to the order, contact us as soon as possible at ox@oceanixwatches.com with:

your order number,
-
a description of the issue, and
-
supporting photos/videos where relevant.
Such cases are handled under our Warranty Policy and applicable consumer laws. We may provide a return label or other remedies where required.
